Welcome to Orella Health. These Terms and Conditions ("Terms") govern your access to and use of the website at www.orellahealth.com, the Orella patient mobile application, the Orella MD Panel, and all related services (collectively, the "Platform") provided by Orella Health, Inc. ("Orella," "we," "our," or "us").

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Description of Services

Orella Health provides a technology platform that facilitates communication between patients and healthcare providers. Our services include multilingual symptom documentation and case preparation across multiple languages, AI-assisted clinical documentation, pre-visit summaries, and structured reports to support healthcare providers, appointment scheduling, management, and coordination, and care plan delivery, follow-up tracking, and observation monitoring.

Orella Health is not a healthcare provider. We do not provide medical advice, diagnosis, or treatment. The Platform is a communication and documentation tool used by licensed healthcare professionals to enhance the care they deliver.

2. Medical Disclaimer

IMPORTANT: The Platform is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read, submitted, or experienced through the Platform.

AI-generated content on the Platform — including pre-visit summaries, clinical analysis, and care plan documentation — is produced to assist healthcare providers and is always subject to physician review and approval. AI-generated content does not constitute medical advice.

In case of a medical emergency, call 911 or your local emergency services immediately. Do not use the Platform to seek emergency care.

3. Eligibility and Account Registration

To use the Platform, you must be at least 18 years of age and capable of forming a binding legal agreement. By creating an account, you represent that the information you provide is accurate, complete, and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

4. SMS and Email Notifications

By providing your phone number and email address during registration, you consent to receive transactional communications related to your healthcare, including appointment confirmations and reminders, care plan and diagnosis readiness alerts, observation check-in reminders, follow-up scheduling notifications, and account verification codes.

Message frequency varies based on your care activity. Message and data rates may apply. To opt out of SMS messages, reply STOP to any message at any time. For help with SMS, reply HELP to any message, or contact admin@orellahealth.com. Supported carriers: Major US carriers are supported.

5. User Responsibilities

When using the Platform, you agree to provide accurate and complete information, maintain the security of your account credentials, use the Platform only for its intended purpose, not use the Platform for any unlawful purpose, not attempt to interfere with or compromise the Platform, and report any unauthorized access immediately.

6. Healthcare Provider Terms

Healthcare providers who use the Orella MD Panel agree to use the Platform in accordance with all applicable laws including HIPAA, review and approve all AI-generated clinical content, maintain appropriate licensure, and not rely solely on AI-generated content for clinical decision-making.

7. AI-Assisted Features

The Platform uses artificial intelligence to assist healthcare providers with clinical documentation. AI-generated content is a tool to assist licensed healthcare providers, not a replacement for professional clinical judgment. All AI-generated content is subject to physician review and approval. AI models may occasionally produce inaccurate or incomplete information.

8. Intellectual Property

All content, features, and functionality of the Platform are the exclusive property of Orella Health, Inc. and are protected by copyright, trademark, patent, and other intellectual property laws.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Orella Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, any content or services obtained through the Platform, unauthorized access to your data, statements or conduct of any third party, or any clinical decisions made by healthcare providers.

11. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.

12. Indemnification

You agree to indemnify, defend, and hold harmless Orella Health from and against any claims arising from your use of the Platform or violation of these Terms.

13. Account Termination

We reserve the right to suspend or terminate your account at any time. You may delete your account through the Platform's settings.

14. Modifications to Terms

We may modify these Terms at any time. Your continued use constitutes acceptance of updated Terms.

15. Governing Law

These Terms shall be governed by the laws of the State of California. Disputes resolved through binding arbitration in Los Angeles, California.
